KAIZEN Digital OÜ specializes in:

  • Market research and competitive analysis
  • Partnership facilitation and ongoing market consultation

Specific service scope, deliverables, timelines, and fees will be defined in individual service agreements or statements of work executed between parties.

4. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Ensure you have appropriate rights and permissions for any materials provided to us
  • Comply with applicable laws in your jurisdiction and in Japan
  • Provide timely feedback and approvals as required for project completion
  • Make payment according to agreed terms

5. Fees and Payment Terms

  • Fees are specified in individual service agreements and quoted in Euros unless otherwise stated
  • All fees are exclusive of applicable taxes, including Estonian VAT where required
  • Payment terms are typically 30 days from invoice date unless otherwise agreed
  • Late payments may incur interest charges according to Estonian law
  • We reserve the right to suspend services for non-payment until accounts are settled

6. Intellectual Property Rights

  • All pre-existing intellectual property, methodologies, and frameworks remain the property of KAIZEN Digital OÃœ
  • Upon full payment, clients receive a non-exclusive license to use deliverables created specifically for them
  • Clients retain ownership of materials they provide to us
  • We reserve the right to use general knowledge and experience gained for other clients, without disclosing confidential information

7. Confidentiality

Both parties agree to maintain confidentiality of non-public information shared during our engagement. This obligation continues after termination of services. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Data Protection

We process personal data in accordance with the General Data Protection Regulation (GDPR) and Estonian data protection laws. Our data processing practices are detailed in our Privacy Policy. When we act as a data processor on your behalf, appropriate data processing agreements will be established as required by law.

9. Limitation of Liability

To the fullest extent permitted by Estonian law:

  • Our total liability is limited to the fees paid for services that gave rise to the claim
  • We are not liable for indirect, consequential, or special damages, including loss of profits or business opportunities
  • We do not guarantee specific business outcomes or market success
  • Nothing herein excludes liability for death, personal injury caused by negligence, or fraud

10. Termination

Either party may terminate service agreements according to terms specified in individual contracts. Upon termination:

  • Clients remain responsible for payment of services rendered up to termination date
  • We will return or destroy confidential information as requested
  • Confidentiality obligations continue to apply

11. Governing Law and Jurisdiction

These Terms are governed by Estonian law. The courts of Estonia have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer rights under applicable law.

12. Amendments

We may update these Terms from time to time. Updated versions will be posted on our website with a new effective date. Continued use of our services constitutes acceptance of modified terms.
